1. Acceptance of these terms
These Terms of Service (“Terms”) form a legally binding contract between you and NixAPI (“NixAPI”, “we”, “us”) governing your access to and use of the website at nixapi.com, the console at api.nixapi.com, the API endpoints, documentation and any related services (together, the “Service”).
By clicking to agree, registering an account, purchasing credits, generating an API key or sending any request to the Service, you confirm that you have read, understood and agree to these Terms, together with our Privacy Policy, Acceptable Use Policy, Refund Policy and Disclaimer, each of which is incorporated into these Terms by reference. If you are not eligible or do not agree, you have no right to use the Service.
2. Nature of the Service
NixAPI operates a large language model aggregation and routing platform. We provide a unified, OpenAI-compatible interface that forwards your requests to generative AI models operated by third parties (the “Models” and “Upstream Providers”) and returns their responses to you.
- We do not develop, own, train, host or control any Model listed on the Service.
- Upstream Providers may include the original model developers, cloud platforms, authorized resellers, aggregation platforms and other API service providers. A single Model may be served through several channels, and we may add, remove or switch channels at any time to maintain availability or cost efficiency, without notice.
- NixAPI is not affiliated with, endorsed by or sponsored by OpenAI, Anthropic, Google, Microsoft, xAI, DeepSeek, Alibaba, Moonshot, Zhipu, ByteDance, MiniMax, Midjourney or any other model developer. All model names, trademarks and logos belong to their respective owners and are used only to identify the Models.
- A Model name shown on the Service describes the model we request from the upstream channel. We do not guarantee that a Model’s version, context length, parameters, feature support, output quality or behavior is identical to the developer’s official service.
- We may add, modify or remove Models, features, routing groups or channels at any time.
3. Eligibility and accounts
By agreeing to these Terms, you represent and warrant that: (a) you are at least 18 years old, or the age of majority in your jurisdiction, and have full legal capacity to enter into these Terms; (b) you have not previously been suspended or removed from the Service; and (c) your registration and use of the Service comply with all applicable laws. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.
- You must provide accurate registration information and keep it up to date.
- You are solely responsible for keeping your password and API keys confidential. All activity and charges under your account or API keys are deemed to be yours, including usage resulting from leaked or shared keys. If you believe your account is no longer secure, notify us immediately.
- You may not create multiple accounts or use false identities to evade limits or obtain promotional benefits.
4. Model terms
- Acceptance. Each Model is subject to the terms, usage policies and restrictions of its developer and Upstream Providers (the “Model Terms”), for example the OpenAI Terms of Use and Usage Policies, the Anthropic Usage Policy and the Google Generative AI Prohibited Use Policy. By accessing any Model through the Service, you agree to comply with the applicable Model Terms. You are solely responsible for reviewing them before use.
- Changes. Model Terms may be modified, supplemented or replaced by the relevant provider at any time. Your continued use of a Model after its Model Terms change constitutes acceptance of the updated terms.
- Your customers. If you integrate the Service into your own products, you must require your end users to use the Service and the Models only in accordance with these Terms, the AUP and the applicable Model Terms. You are responsible for all acts and omissions of your end users.
- Suspension at provider request. If we reasonably believe that you or your end users have breached or may breach any Model Terms, or if an Upstream Provider requires or requests it, we may suspend, limit, disable or terminate access to any Model or to the Service. We accept no liability for any such action, or for the removal, unavailability, degradation or modification of any Model resulting from the acts or omissions of an Upstream Provider.
- Model selection. You are solely responsible for choosing the Models you use and for determining whether each Model and its Model Terms are suitable for your use case, including any regulated, high-risk, sensitive or customer-facing use.
- Restricted models and regions. Some model developers do not permit access to their Models from certain countries or regions, or by certain persons or organizations (“Restricted Models”). You must not use, or allow others to use, the Service to access Restricted Models in breach of those restrictions, and you must not circumvent any safeguard implemented by us or a provider to enforce them. You bear sole responsibility for any consequences of doing so.
5. Availability and changes to the Service
The Service depends on Upstream Providers outside our control. You acknowledge and agree that:
- Models are provided on an “as available” basis only. Any Model may become slow, unstable, rate-limited, degraded or unavailable at any time, temporarily or permanently, due to upstream outages, capacity limits, policy changes, account suspensions, regional restrictions, price changes or deprecation;
- upstream changes to model behavior, versions, output formats, safety filters or tokenization may affect your application without warning;
- uptime, latency and other figures shown on our website or status page are historical or illustrative statistics, not a commitment or service level agreement (SLA). Unless we have signed a separate written agreement with you, no SLA applies;
- we may modify, limit or discontinue the Service, or any part of it, at any time, temporarily or permanently, with or without notice.
We will make reasonable efforts to keep the Service running, including routing across multiple channels, but we accept no liability for any upstream interruption or for any modification, suspension or discontinuation of the Service.
6. Your content
You may submit prompts, text, images, files and other material to the Service (“Input”) and receive content generated by Models based on it (“Output”; together, “User Content”).
- License to operate. You grant us a non-exclusive, worldwide, royalty-free license to transmit and process your User Content solely as necessary to operate and provide the Service, including forwarding it to Upstream Providers. We do not store User Content; see our Privacy Policy.
- Ownership. You retain any rights you have in your Input. Ownership of and rights in Output are governed by the Model Terms of the Model that generated it, and we make no claim to, and give no warranty regarding, Output.
- Upstream processing. Upstream Providers process User Content under their own terms. Some may retain it or use it to improve their models. We do not control, and are not responsible for, how Upstream Providers handle User Content.
You are solely responsible for your Input and the consequences of submitting it. You represent and warrant that you own or have all rights, licenses and consents necessary to submit it, and that your Input and its use under these Terms do not (i) infringe any third-party right, including intellectual property, privacy or publicity rights; (ii) defame any person; or (iii) cause us or any Upstream Provider to violate any law or Model Terms.
7. Acceptable use and prohibited conduct
You must use the Service in accordance with our Acceptable Use Policy (“AUP”), which describes prohibited content and uses in detail. In addition, you agree not to:
- use the Service for any unlawful purpose or in breach of any Model Terms;
- resell, sublicense or redistribute API access, or use the Service to build a competing API relay, without our prior written consent;
- sell, rent, share or otherwise transfer your account, API keys or any rights under these Terms;
- scrape or copy the website or console by automated means, or bypass any anti-scraping measure;
- red-team any Model — including prompt injection, jailbreaking or other adversarial attempts to defeat a Model’s safeguards or breach Model Terms — without our prior written approval;
- reverse engineer the Service, attempt to identify or directly access our upstream channels, or circumvent rate limits, billing or security features;
- upload malicious code, interfere with or disrupt the Service or any connected network, or collect other users’ information without consent;
- purchase credits with funds or cryptocurrency derived from any financial or other crime, or use payment methods you are not authorized to use;
- attempt, assist or permit any of the above.
8. Credits, pricing and refunds
- Access to the Service requires prepaid credits. Usage is deducted from your balance based on the prices and group multipliers shown in the console at the time of each request. You will be able to review the amount before paying; payment processing fees may apply.
- Usage is metered by our system based on token counts, request counts or other units reported by the upstream or calculated by us. Our metering records are the final basis for billing, save for manifest errors. Requests that reach an upstream Model may be charged even if they end in an error, timeout, client disconnect or content-filter refusal.
- Credits are a prepayment for the Service only. They are not currency, bear no interest, and cannot be transferred or exchanged for cash. We reserve the right to expire credits that remain unused 365 days after purchase.
- Prices, multipliers and billing methods may change, usually to follow upstream costs. We will try to announce changes in advance through the console or website, but changes driven by Upstream Providers may take effect immediately. New prices apply only to requests made after they take effect.
- Refunds are governed by our Refund Policy. In short: a refund of unused credits must be requested within 24 hours of the purchase, or remaining credits are refunded within 30 days if you close your account; consumed, promotional and bonus credits are non-refundable; cryptocurrency payments are strictly non-refundable without exception; and upstream unavailability, model removal or price changes do not in themselves entitle you to a refund.
- Chargebacks or payment disputes filed without first contacting us may result in immediate suspension of your account.
9. Suspension and termination
You may stop using the Service and request account deletion at any time. You remain liable for any amounts incurred before termination.
We may suspend, limit or terminate your account or access to the Service, in whole or in part, at any time and at our sole discretion, with or without notice — including where you breach these Terms, the AUP or any Model Terms; where an Upstream Provider, payment processor, regulator or authority requires it; or where your use creates security, legal or reputational risk. If your account is terminated for a breach, your right to use the Service ends automatically and any remaining credits are forfeited.
Sections 6, 8 and 10 through 17 survive termination of these Terms.
10. Intellectual property and feedback
The Service, including its interfaces, design, software, documentation and other materials provided by us (the “Materials”), is owned by NixAPI or its licensors and protected by intellectual property laws. You may not use the Materials except as expressly permitted by these Terms. All rights not expressly granted are reserved.
If you provide comments or suggestions about the Service (“Feedback”), you grant us an unrestricted, perpetual, irrevocable, non-exclusive, royalty-free right to use it for any purpose without obligation to you.
11. Disclaimer of warranties
To the maximum extent permitted by law, the Service, all Models, Materials and Output are provided “as is” and “as available”, without warranties or conditions of any kind, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, non-infringement, accuracy, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure or free of errors, viruses or other harmful components, or that any defect will be corrected.
We make no warranty regarding any Upstream Provider, its Models or its data practices, and are not responsible for its acts or omissions. See our Disclaimer for more.
12. Limitation of liability
To the maximum extent permitted by law:
- NixAPI and its operators, affiliates and personnel will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, data or other intangible loss, arising out of your access to or use of, or inability to access or use, the Service, whether based on warranty, contract, tort (including negligence), statute or any other legal theory, even if advised of the possibility;
- we are not liable for losses arising from upstream interruptions, Model changes or removal, content filtering, Output, leaked API keys, or your breach of these Terms;
- our total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the amount you actually paid us for the Service in the three (3) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain exclusions or limitations of liability; in that case our liability is limited to the minimum extent permitted.
13. Indemnification
You agree to defend, indemnify and hold harmless NixAPI and its operators, affiliates and personnel from any claims, damages, losses, penalties, costs and expenses (including reasonable legal fees) arising from your Input, your use of Output, your use of the Service, your end users’ use, or your violation of these Terms, the AUP, any Model Terms, any law, or the rights of any third party.
14. Force majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, war, terrorism, riots, epidemics, government actions, changes in law or regulation, sanctions, network or power outages, cyberattacks, failures of hosting or payment providers, and outages, suspensions or policy changes by Upstream Providers.
15. Changes to these Terms
We may update these Terms from time to time. For changes that materially affect your rights or obligations, we will give notice through the console, website or email before they take effect where reasonably practicable. Other changes take effect when posted on this page, as indicated by the “Last updated” date. If you do not agree to the changes, you must stop using the Service; continued use constitutes acceptance.
16. Governing law and disputes
Any dispute arising from these Terms or the Service should first be resolved through good-faith negotiation. If negotiation fails, the dispute will be submitted to the competent court at the place where the operator of NixAPI is located, and these Terms are governed by the laws of that place, without regard to conflict-of-law rules.
17. General
- These Terms, together with the policies incorporated by reference and any rules posted in the console, are the entire agreement between you and us regarding the Service.
- You may not assign or transfer these Terms without our prior written consent. We may assign them at any time without notice.
- If any provision is held invalid or unenforceable, it will be enforced to the maximum extent possible and the remaining provisions remain in effect. Our failure to enforce a right is not a waiver of it.
- You consent to receive communications from us electronically, and agree that electronic notices satisfy any legal requirement that communications be in writing.
- These Terms are provided in English and Chinese. If there is any inconsistency, the Chinese version prevails.
